3.2 Client Responsibilities: Clients are responsible for providing timely feedback, content, assets, and approvals as specified in the project agreement. Delays caused by late client deliverables may affect project timelines.
3.3 Payment Terms: Payment schedules are outlined in individual project agreements. Typical payment structures include milestone-based payments or upfront deposits. Late payments may result in project suspension.
4.1 Client-Owned Content: Upon full payment, clients retain ownership of custom deliverables specifically created for their project, including custom designs, code, and content.
4.2 Kaizer Property: We retain ownership of our proprietary tools, frameworks, methodologies, and any pre-existing materials used in project delivery.
4.3 Third-Party Resources: Some projects may utilize third-party libraries, plugins, or software governed by their respective licenses. Clients are responsible for compliance with these licenses.
4.4 Portfolio Rights: Unless otherwise agreed in writing, Kaizer reserves the right to showcase completed work in our portfolio, case studies, and marketing materials.
We understand the sensitive nature of business information. All client data, business strategies, and proprietary information shared with us during the course of our engagement will be kept confidential and will not be disclosed to third parties without explicit consent, except as required by law.
6.1 Service Quality: We commit to delivering professional, high-quality services using industry best practices and modern technologies.
6.2 Bug Fixes: We provide a warranty period for bug fixes on newly delivered projects, as specified in individual project agreements.
6.3 Limitation: While we strive for perfection, we cannot guarantee that our services will be error-free or uninterrupted. We are not liable for issues arising from third-party services, hosting providers, or client-provided content.
To the maximum extent permitted by law, Kaizer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities arising from the use of our services. Our total liability shall not exceed the amount paid by the client for the specific service in question.
8.1 Initial Support: We provide initial support as outlined in project agreements, typically covering a specified period after project delivery.
8.2 Extended Support: Ongoing support and maintenance services are available through separate agreements with defined service levels and response times.
8.3 Response Time: We aim to respond to all support inquiries within 24 hours during business days (Monday-Friday, 9AM-6PM Sri Lanka Time).
9.1 By Client: Clients may terminate projects with written notice. Work completed up to the termination date will be invoiced, and any prepaid amounts for incomplete work may be refunded on a pro-rata basis.
9.2 By Kaizer: We reserve the right to terminate agreements in cases of non-payment, breach of terms, or if continuing the relationship is not in the best interest of either party.
We are committed to protecting your privacy and handling your data responsibly. We collect and process personal information only as necessary to deliver our services. All data is handled in accordance with applicable data protection laws and industry best practices.
Security Measures: We implement appropriate technical and organizational measures to protect data from unauthorized access, loss, or misuse.
Our services may integrate with or rely on third-party platforms, APIs, hosting providers, and software. We are not responsible for the performance, availability, or policies of these third-party services. Clients are responsible for maintaining their own accounts and complying with third-party terms of service.
Kaizer reserves the right to update these Terms at any time. We will notify clients of significant changes via email or through our website. Continued use of our services after such modifications constitutes acceptance of the updated Terms. The "Last Updated" date at the top of this page indicates when these Terms were last revised.
In the event of any disputes arising from our services, both parties agree to first attempt resolution through good-faith negotiations. If a resolution cannot be reached, disputes will be handled in accordance with the laws of Sri Lanka.
These Terms shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to its conflict of law provisions.
